Outsourced general counsel
For businesses that do not need a full-time in-house attorney but do need consistent legal advice across the year. Business formation and corporate governance
Corporation, LLC, and partnership formation. Operating agreements, shareholder agreements, and buy-sell provisions that hold up when they are tested — death, disability, retirement, voluntary departure, termination, or divorce. Annual maintenance, meeting minutes, and equity transactions.
Contract drafting and negotiation
Customer agreements, vendor agreements, distribution agreements, licensing agreements, professional services agreements, and the assortment of contracts every operating business accumulates. Drafting from scratch, reviewing what the other side sent over, or both.
Insurance coverage and bad faith
Pennsylvania's statutory bad faith remedy under 42 Pa.C.S. § 8371 gives policyholders meaningful leverage when an insurer denies, delays, or underpays a legitimate claim. The firm represents small businesses and individual policyholders in coverage disputes — including disputes over duty to defend, duty to indemnify, business interruption, and first-party property claims.
Shareholder and partner disputes
Sometimes called "business divorce." When the operating agreement is missing, outdated, or unenforceable, these disputes get expensive quickly. The firm represents minority and majority owners in disputes over control, distributions, valuation, and exit.
Commercial litigation
Breach of contract, collections, and the broader category of disputes between businesses. The firm tries cases in Pennsylvania and New Jersey state and federal courts, including the Pennsylvania Courts of Common Pleas and the United States District Court for the Eastern District of Pennsylvania.
Approach
Every business matter starts with three questions: what does winning actually look like, what will it cost to get there, and what is the smallest path to that outcome? Some matters call for a phone call to opposing counsel and a quick resolution. Others require a full litigation track. The firm scales the approach to the matter, not the other way around.
